Is electronic signature legal in Kenya?

Legal, with limits

Yes, with limits. Kenya recognizes electronic signatures under the Kenya Information and Communications Act, and since the Business Laws (Amendment) Act 2020 an advanced electronic signature can be used where a contract must be signed, including under the Law of Contract Act. Advanced signatures must come from a certification service provider licensed or recognised by the Communications Authority of Kenya, and wills and negotiable instruments are excluded from the electronic rules.

Types of electronic signature in Kenya

  • Electronic signature

Data in electronic form attached to or logically associated with other electronic data. Can show agreement in many commercial dealings.

  • Advanced electronic signature

Uniquely linked to and identifies the signer, created with means under the signer's sole control, and linked to the data so changes are detectable. Issued through a certification service provider licensed or recognised by the Communications Authority of Kenya, and needed to meet statutory signature requirements.

What you can sign electronically in Kenya

  • Commercial and sales contracts
  • Employment contracts
  • Contracts for the disposition of an interest in land, when signed with an advanced electronic signature and attested as the Law of Contract Act requires
  • Service agreements

Documents that need a handwritten signature or extra formalities

  • Wills
  • Negotiable instruments such as cheques

Contracts that must be “in writing”

The Business Laws (Amendment) Act 2020 amended the Law of Contract Act so that 'sign' includes an advanced electronic signature. A scanned image of a handwritten signature is not an advanced electronic signature.

E-signatures in Kenya: frequently asked questions

Is a scanned signature valid in Kenya?

A scanned signature is not an advanced electronic signature, so it may not satisfy a legal signature requirement if challenged.

Can land sale agreements be e-signed in Kenya?

Yes, they can be signed with an advanced electronic signature following the 2020 amendments to the Law of Contract Act, but each signature must still be attested by a witness present at signing, and the process for electronic attestation is not yet settled.

Are foreign e-signature providers recognized in Kenya?

Foreign providers can be recognised by the Communications Authority of Kenya if they are licensed or authorised in their home country, meet the required standards and have a local agent in Kenya. Check the Authority's list of recognised providers.
